Share Buy-Back Programme

Reference is made to the resolution on the Share Buy-Back Programme approved by shareholders at the Bank’s Annual General Meeting held on 6 May 2026 (the “AGM”), authorising the Bank to buy back up to 5,000,000 ordinary shares at a price ranging from €0.45 to €0.75 per share out of distributable profits (the “Share Buy-Back”).

The Bank would like to inform the market that the Share Buy-Back commenced on 10 August 2026 and will run up to 6 August 2027, i.e. 15 months from the date of the AGM, or until the conclusion of the Bank’s 2027 Annual General Meeting, whichever occurs earlier

The Share Buy‑Back is being carried out to reinforce and enhance shareholder value through more effective and efficient capital management. In this regard, shares acquired pursuant to the Share Buy-Back will not be cancelled but will instead be held as treasury shares and may be re-sold or transferred - including to provide the Bank with flexibility in meeting its obligations under the Employee Share Incentive Plans currently in force, or otherwise utilised in accordance with the Companies Act and the Bank’s Articles. While held in treasury, such shares will not carry voting and dividend rights.

All required regulatory clearances in respect of this Share Buy-Back have been obtained, and the MFSA has noted the Bank’s endeavour to comply with the various provisions set out under the Market Abuse Regulation (EU No. 596/2014) and the Safe Harbour Delegated Regulation (EU No 2016/1052) on a best-efforts basis.

In order to ensure that the Share Buy‑Back is carried out at arm’s length and in compliance with applicable independence guardrails, without the exercise of any influence over the timing, pricing or execution of the transactions, the Bank has entrusted the management of the programme to its wholly‑owned subsidiary ReAPS Asset Management Limited, by means of a discretionary portfolio management agreement entered into on 15 May 2026. ReAPS Asset Management may in turn delegate the day-to-day management to authorised third parties.

The market will be kept updated with the progress of the Share Buy-Back through weekly Company Announcements and reporting on the Bank’s Investor Relations page, which information will also be submitted to the MFSA.
